This document is a draft pending legal review and may change before it is finalised.
Please read these terms carefully. They explain what Veneraa does, what you can expect from us and what we expect from you.
1. About these terms
These Terms of Use (“Terms”) are an agreement between you and Veneraa (“Veneraa”, “we”, “us”). They apply to veneraa.in, any sub-domain, and every service we offer through them (together, the “Platform”).
These Terms are an electronic record under the Information Technology Act, 2000 and the rules made under it, and do not need a physical or digital signature. By browsing the Platform, creating an account or submitting an enquiry, you confirm that you have read and accept these Terms, our Privacy Policy and our Risk Disclosure. If you do not agree, please do not use the Platform.
2. What Veneraa does
Veneraa offers two kinds of service:
- Co-ownership. Investors acquire shares in a special purpose vehicle (“SPV”), a private limited company that holds a specific leased commercial property. Your ownership is the shareholding recorded in that SPV's register of members and on your co-ownership certificate.
- Transaction and leasing services. We help clients buy, sell and lease commercial property outright, and act on tenant-representation and leasing mandates.
Veneraa is not a stock exchange, a bank, a SEBI-registered investment adviser, a real estate investment trust (REIT) or an alternative investment fund. Nothing on the Platform is a deposit, and returns are not guaranteed.
3. Eligibility and your account
- You must be at least 18 years old and able to enter into a binding contract under Indian law.
- Non-resident Indians and foreign nationals may invest only where the Foreign Exchange Management Act, 1999 and related rules allow it. You are responsible for confirming that.
- Some parts of the Platform, including investment documents and your dashboard, are available only after you complete our Know Your Customer (“KYC”) checks, which may include PAN, Aadhaar-based or video verification and bank account validation.
- You must give accurate, current information and keep it up to date. You are responsible for everything done through your account, so keep your login details confidential and tell us at once if you suspect misuse.
- We may refuse, suspend or close an account at our discretion, including where KYC cannot be completed.
4. Co-ownership investments
- The minimum investment is ₹30,00,000 (₹30 lakh) per property unless a listing states otherwise. Each listing shows its price per square foot and the number of square feet the minimum buys.
- Every investment is made under separate transaction documents, such as a share subscription or transfer agreement, a shareholders' agreement and the SPV's articles of association. If those documents conflict with these Terms, the transaction documents prevail.
- Expressing interest or submitting a request on the Platform does not create a binding commitment on either side. An allocation is confirmed only when the transaction documents are signed and payment is received.
- Investment money is paid only into the escrow or SPV bank account named in your transaction documents and is held there until the purchase completes. If a purchase does not complete, money is returned as set out in those documents.
- Rent and other distributions are paid by the SPV to its shareholders in proportion to their holdings, after expenses, fees and taxes, and only to the extent the SPV lawfully has funds to distribute.
5. Resale board
You may list some or all of your holding for sale to other registered members on the resale board. We facilitate introductions and paperwork but do not guarantee that a buyer will be found, or the price or timing of any sale. Transfers are subject to the SPV's articles, any lock-in period, applicable stamp duty and taxes, and any transfer fee shown before you list.
6. Transaction and leasing services
Outright purchases, sales and leasing mandates are governed by a separate engagement letter or mandate agreement, which sets out the scope of work and our brokerage or fees. Property information we share for these services comes from owners, developers and public records; you should carry out your own due diligence before committing.
7. Fees
Any fees that apply to an investment, such as acquisition, asset-management, exit or transfer fees, are disclosed on the listing or in the transaction documents before you commit. Applicable taxes are charged in addition.
8. No offer and no advice
Content on the Platform is general information. It is not an offer or solicitation to buy or sell securities or property in any jurisdiction, and it is not investment, legal, tax or accounting advice. Make your own assessment, and consult your own advisers, before investing.
9. Projections and illustrative figures
Yields, target returns, valuations and other forward-looking figures are estimates based on assumptions that may not hold. Listings and figures marked as illustrative are examples only. Past performance of any property or market does not indicate future results. Please read the Risk Disclosure.
10. Acceptable use and security
You agree not to:
- access accounts, data or systems you are not authorised to use, or probe, scan or test the Platform's security;
- interfere with the Platform, including through viruses, overloading, scraping or automated requests;
- impersonate anyone, give false information, or use the Platform for money laundering or any unlawful purpose; or
- copy, resell or exploit the Platform or its content commercially without our written consent.
Breaching these rules may lead to suspension of your account and, where appropriate, civil or criminal action.
11. Intellectual property
The Platform's design, text, graphics, logos and software belong to Veneraa or its licensors. You may view and print pages for your own non-commercial use. Third-party photographs are used under their stated licences and remain their owners' property.
12. Third-party content and links
The Platform may show maps, data or links provided by third parties. We do not control or endorse them and are not responsible for their accuracy or availability. Using a linked website is at your own risk and subject to that website's terms.
13. Fraud and phishing warning
- We will never ask for your password, OTP, card PIN or UPI PIN by phone, email or message.
- We will never ask you to pay into a personal account. Investment money goes only to the escrow or SPV account named in your signed transaction documents.
- If someone claiming to represent Veneraa contacts you and anything feels wrong, stop and contact us through the contact details listed in the footer of this website.
14. Disclaimer and limitation of liability
The Platform is provided “as is” and “as available”. To the extent the law allows, we make no warranty that it will be uninterrupted, error-free or secure, or that its information is complete or current.
To the extent the law allows, Veneraa is not liable for any indirect, incidental or consequential loss, or for loss of profit, data or opportunity, arising from your use of the Platform. Our total liability for any claim relating to the Platform is limited to the fees you paid to us in the twelve months before the claim. Nothing in these Terms limits liability that cannot be limited by law, or our obligations under signed transaction documents.
15. Indemnity
You agree to indemnify Veneraa and its directors, employees and agents against claims, losses and costs (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Platform, or your violation of any law or third-party right.
16. Suspension and termination
We may suspend or end your access to the Platform at any time if you breach these Terms, if required by law or a regulator, or to protect other users. Ending your Platform access does not affect shares you hold in an SPV, which remain governed by the transaction documents.
17. Changes to these terms
We may update these Terms from time to time. The “Last updated” date above shows when they last changed, and we will highlight material changes on the Platform or by email. Continuing to use the Platform after a change means you accept it.
18. General
- We may send notices to the email address on your account; you may send notices to us through the contact details listed in the footer of this website.
- If any provision is found unenforceable, the rest of these Terms continue in effect.
- These Terms, with the policies they refer to, are the entire agreement about use of the Platform.
- You may not transfer your rights under these Terms. We may assign them, for example to a group company or successor.
- Nothing in these Terms creates a partnership, agency or employment relationship between you and Veneraa.
- A delay in enforcing a right is not a waiver of it.
19. Governing law and disputes
These Terms are governed by the laws of India. Any dispute arising from them will first be discussed in good faith. If it is not resolved within 30 days, it will be referred to a sole arbitrator appointed under the Arbitration and Conciliation Act, 1996. The seat of arbitration will be Hyderabad, Telangana, and proceedings will be in English. Subject to this, the courts at Hyderabad, Telangana have exclusive jurisdiction.
20. Grievance officer
In line with the Information Technology Act, 2000 and the rules made under it, you can raise any complaint about the Platform or its content with our Grievance Officer through the contact details listed in the footer of this website. We will acknowledge complaints within 24 hours and aim to resolve them within 15 days.
